Agreement to Terms

By accessing or using Capri (“the App”), including Capri Intelligence features, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the App. Capri is operated by Keeta Holdings, Inc.

What Capri is — and is not

The information provided through the App is for general educational and informational purposes only. It should not be considered financial advice, investment advice or recommendations, tax advice, or legal advice.

Using the App does not create a financial advisor-client relationship, attorney-client relationship, or any other professional relationship. Capri and its creators are not registered investment advisers, broker-dealers, or financial planners.

Investment risk disclosure

All investments involve risk, including the possible loss of principal. Past performance does not guarantee future results. Market data displayed in the App may be delayed and is provided for informational purposes only. We make no guarantees about the accuracy, completeness, or timeliness of any information.

User accounts

To use certain features, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account
• All activities that occur under your account
• Providing accurate and current information
• Notifying us of any unauthorized use

Subscriptions & payments

Some features require a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your subscription
• Automatic renewal unless canceled before the renewal date
• Our refund policy as governed by Apple App Store policies for in-app purchases

Prices may change with notice. You can manage or cancel subscriptions through your device’s App Store settings. Restore Purchases is available in the Capri app Settings.

AI-powered features (Capri Intelligence)

Capri Intelligence features use third-party AI services (OpenAI and Anthropic) to analyze documents and generate educational content. By using these features:

• You consent to your documents and queries being processed by these AI services
• You understand that AI-generated analysis is for educational purposes only and may contain errors
• You agree not to rely solely on AI analysis for financial decisions
• You acknowledge that AI outputs do not constitute professional advice of any kind

Acceptable use

You agree not to:

• Use the App for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the App’s operation
• Copy, modify, or distribute App content without permission
• Use the App to harm others or spread misinformation

User-generated content & community

Community features allow you to interact with other users. We have zero tolerance for objectionable content or abusive users. Prohibited content includes harassment, hate speech, spam, scams, unsolicited investment advice, and any illegal material.

• Users can report posts and block other users
• We review reports and may remove content or suspend accounts
• You are solely responsible for content you post and grant Capri a license to display it within the App

Intellectual property

All content, features, and functionality of the App are owned by Capri and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPRI SHALL NOT BE LIABLE FOR any indirect, incidental, special, or consequential damages; any loss of profits, data, or business opportunities; any investment losses or financial decisions made based on App content; or any damages exceeding the amount you paid for the App in the past 12 months.

Disclaimer of warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Termination

We may terminate or suspend your account at any time for violations of these Terms. Upon termination, your right to use the App will immediately cease.

Changes to Terms

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance of the new Terms. We will notify you of material changes through the App.

Governing law

These Terms shall be governed by the laws of the State of Florida and the United States. Any disputes shall be resolved in the courts of Florida.
